By installing or using Scribio (the "Software"), you agree to these Terms of Use. If you do not agree, do not install or use the Software.
Subject to your compliance with these Terms and (where applicable) payment of subscription fees, Giovanni Sacco / Scribio (the "Provider") grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on Mac computers you own or control, for your personal or internal business use.
Scribio is offered on a subscription basis. Subscription tiers, pricing, billing cadence, and trial periods are described on the Scribio website at the time of purchase. Subscriptions auto-renew unless cancelled before the next billing date. Cancelling a subscription stops future renewals; it does not refund prior periods unless required by applicable law or expressly offered by the Provider.
The Provider reserves the right to change subscription pricing on prospective renewals with at least 30 days' notice via the email address associated with your subscription.

You retain all ownership of meeting recordings, transcripts, summaries, voice profiles, face embeddings, and any other content created or processed by the Software ("Your Content"). The Provider does not access, transmit, copy, or store Your Content. Your Content lives on your Mac (and, if you enable iCloud sync, on your other Apple-ID-linked devices). See the Privacy Policy for details.
Scribio offers optional integrations with third-party services (Zoom, Microsoft Graph, Anthropic, OpenAI, Notion, Evernote, Slack, Google Drive, OneDrive, etc.). Your use of these integrations is subject to the third party's own terms and privacy policy. The Provider is not responsible for the availability, accuracy, or behaviour of third-party services.
The Software, including all source code, binaries, designs, brand names, and documentation, is the exclusive property of the Provider and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of any IP to you. Open-source components included in the Software are governed by their respective licenses, available in the Software's About → Acknowledgements screen.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF TRANSCRIPTION. The Provider does not warrant that the Software will be uninterrupted, error-free, or that transcripts and speaker identifications will be accurate or complete. Speaker identification is a machine-learning inference; users must verify accuracy before relying on transcripts in legal, medical, regulatory, or other consequential contexts.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THESE TERMS. THE PROVIDER'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD 50.
These Terms remain in effect until terminated. You may terminate at any time by uninstalling the Software and cancelling any active subscription. The Provider may terminate your license immediately if you breach these Terms, in which case you must uninstall the Software. Sections 5, 7, 8, 9, and 11 survive termination.
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be resolved in the state or federal courts located in New York County, New York, USA, and you consent to personal jurisdiction there.
The Provider may update these Terms from time to time. Material changes will be communicated by email (to the address associated with your subscription) or in-app at least 30 days before taking effect. Continued use of the Software after the effective date of a change constitutes acceptance.
